We may suspend, modify, or discontinue services, features, promotions, or free trials at any time without liability. We do not guarantee availability of any feature or service. We do not guarantee specific results, outcomes, or uptime. All services are provided “as is” and “as available,” without warranties of merchantability or fitness for a particular purpose. We are not a bank, lender, or financial institution. Any financial or merchant services offered through partners are governed solely by their agreements and policies.

3. User Responsibilities

6. Agreements & Subscriptions

All clients and customers must sign or accept an agreement prior to receiving services. This may take the form of a Master Service Agreement, subscription agreement, or other contract. Use of this website also constitues acceptance of our Terms & Conditions and our Privacy Policy. If there is a conflict between these Terms and a specific signed agreement, the specific signed agreement will govern. These Terms apply to all general interactions with Horizon not otherwise covered by a separate agreement. Unless otherwise provided in a signed agreement, all fees are non-refundable once services begin.

7. Payments & Billing

Some services may require upfront payment, subscriptions, or recurring billing. Payments are processed through third-party providers. Refunds, if available, will be governed by the applicable service agreement or subscription terms. Horizon is not responsible for delays, errors, or failures caused by third-party payment processors and/or affiliates.

8. Intellectual Property

All content, trademarks, branding, and materials provided by Horizon are owned by or licensed to us and protected by law. You may not copy, reproduce, distribute, or misuse Horizon’s intellectual property without written consent.

9. User Accounts

If accounts are created for subscriptions or SaaS platforms:

You are responsible for all activity under your account.

Horizon may suspend or terminate accounts used in violation of these Terms or suspected of violation of these Terms.

10. User-Generated Content

If you submit or share content with Horizon (e.g., reviews, comments, uploads), you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that content for business purposes. You are solely responsible for the content you submit. Horizon disclaims liability for any user-generated content. We may remove or refuse content that violates these Terms or applicable law.

11. Third-Party Services & Links

Our services may include integrations with or links to third-party services (including TikTok, Meta, Google, payment processors, and analytics tools and others). We are not responsible for the content, practices, or policies of third-party services. Your use of third-party services is at your own risk.

12. Disclaimer of Warranties

Our services are provided “as is” and “as available.”

We do not guarantee uninterrupted, error-free, or secure access.

We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

Unless otherwise set out in a signed agreement, Horizon does not provide legal, financial, or tax advice. Any information provided is for educational or informational purposes only.

13. Limitation of Liability

To the fullest extent permitted by law:

Horizon will not be liable for any indirect, incidental, special, or consequential damages.

Horizon’s total liability will not exceed the amount you paid to us, if any, for the specific service giving rise to the claim.

14. Indemnification

You agree to indemnify and hold Horizon, its affiliates, employees, and partners harmless from any claims, damages, liabilities, or expenses (including legal fees) arising from your misuse of our services, violation of these Terms, or infringement of third-party rights.

15. Governing Law & Dispute Resolution

These Terms are governed exclusively by the laws of the State of Florida, USA, without regard to conflict-of-law principles.

Any dispute arising out of these Terms will be resolved by binding arbitration on an individual basis in Florida under the rules of the American Arbitration Association.

You waive any right to bring or participate in a class action, class arbitration, or other representative proceeding, whether in court or arbitration.

16. Force Majeure

Horizon will not be liable for delays or failures caused by events beyond our reasonable control, including natural disasters, pandemics, outages, government actions, or regulatory changes.

Force majeure events excuse Horizon from performance and do not entitle users to refunds or damages.

17. Export & Compliance Restrictions

You may not use Horizon’s services in violation of U.S. export laws, trade sanctions, or other compliance regulations.

18. AI & Automated Tools Disclaimer

We may use automated tools, algorithms, or artificial intelligence to provide insights or recommendations.

These tools are not a substitute for professional judgment, and you are solely responsible for decisions made based on automated outputs.

19. Termination

We may suspend or terminate your access to our services for violations of these Terms, or at our discretion for business or operational reasons. If you have prepaid fees, we will partially refund unused portions unless termination is due to your breach.

You may terminate your use of our services at any time.

20. Survival & Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect. Clauses relating to limitation of liability, indemnification, dispute resolution, and intellectual property will survive termination.
